This page (together with the documents referred to on it) tells you the terms on which you may use www.oldjet.gallery (the "Website").

You should read these terms of use carefully before using the Website. If you do not agree to these terms of use please do not use the Website. By using the Website, you indicate that you accept these terms of use and that you agree to abide by them.

1. Information about us

The Website is operated by ROJA Arts CIC ("We", "Us", "Our"). We are registered in England and Wales under company number 13762186 and have our registered office C/O The Control Tower, Bentwaters Parks, Rendlesham, Suffolk, United Kingdom, IP12 2TQ.

2. Accessing the Website

You may access the Website but we reserve the right to withdraw or amend the service that we provide on the Website without notice. We may also suspend access to the Website or close it indefinitely at any time. We will not be liable if for any reason the Website is unavailable at any time or for any period. You must treat any password or user identification code that we provide to you as confidential and must not disclose it to anyone else. You will be liable and responsible for all acts and omissions performed under your password or username whether it is carried out by or on your behalf or not.

When using the Website, you must comply with the provisions of our acceptable use policy.

3. Intellectual property rights

We are the owner or the licensee of all intellectual property rights in the Website, and in the material published on it.

You must not use any part of the materials on the Website for commercial purposes without our prior written approval or that of our licensors. In particular, you may not copy images of any of the Artwork from the online gallery or store.

4. Reliance on information posted

Materials posted on the Website are not intended to amount to advice on which reliance should be placed. We disclaim all liability and responsibility arising from any reliance placed on such materials by any user of the Website, or by anyone who may be informed of any of its contents.

The material displayed on the Website is provided without any guarantees, conditions or warranties as to its accuracy and any of the material on the Website may be out of date at any given time. We are under no obligation to update the Website or its contents at any time. Nothing in these terms of use is intended to detract from your rights (if any) as a consumer.

5. Our liability

We shall have no liability for any loss of profits, anticipated savings, business opportunity, goodwill or loss of or damage (including corruption) to data (in each case whether direct or indirect) or any other indirect or consequential losses whether arising in contract, tort (including negligence) or otherwise incurred by any user in connection with the Website or in connection with the use, inability to use, or results of the use of the Website, any websites linked to it and any materials posted on it. We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Website or to your downloading of any material posted on it, or on any website linked to it.

Our maximum liability to you in connection with the Website and your use of it is limited to a £100 in aggregate provided that nothing in these terms shall limit or exclude any liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation or for any other liability which cannot be properly excluded under English law.

6. Information about you and your visits to the Website

We process information about you in accordance with our Privacy Policy. By using the Website, you consent to such processing and you warrant that all information provided by you is accurate.

7. Transactions concluded through the Website

Contracts for the supply of Artwork and any other items formed through the Website or as a result of visits made by you are governed by our Website trading terms.

8. Links from the Website

Where the Website contains links to websites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those websites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.

9. Jurisdiction and applicable law

These terms of use are subject to the laws of England and Wales and the Courts of England shall have jurisdiction over any claim arising from or in relation to them.

10. Amending the Terms of Use

We may revise these terms of use at any time by amending this page. You should check this page from time to time to take notice of any changes that we made, as they are binding on you.

Some of the provisions contained in these terms of use may also be superseded by provisions or notices published elsewhere on the Website.

Acceptable use policy

You must comply with this acceptable use policy when accessing the Website. You may use the Website for lawful purposes only.

You must not use the Website:

  • If your use breaches any applicable law or regulation whether local, national or international.
  • If your use is unlawful or fraudulent.
  • If your use harms, or could harm, minors in any way.
  • To send spam materials to other people.
  • To post any contributions which contain material which is defamatory, obscene, offensive, hateful, inflammatory, deceptive, is likely to harass, upset, embarrass or impersonate any person or which is sexually explicit, promotes violence or any form of discrimination on the basis of race, gender, religion, nationality, disability, sexual orientation, or age, or which infringes any third party intellectual property rights or other rights.
  • To knowingly introduce or transmit viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful.

In addition:

  • You must not gain, or attempt to gain, unauthorised access to the Website, the server on which the Website is stored or any server, computer or database connected to the Website.
  • You must not attack the Website via a denial-of-service attack or a distributed denial-of service attack or do anything that could disable or impair the Website.

If you breach any provisions of the Computer Misuse Act 1990 you may be committing a criminal offence. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them.

If you breach these terms contained in this Acceptable Use Policy, your right to use the Website will cease immediately.

Website trading terms

The Terms and Conditions (together with the documents referred to therein) apply to any agreement ("Agreement") between us for the sale of artworks ("Artworks") displayed on our online gallery and store via www.oldjet.gallery ("Website"). Please read the Terms and Conditions carefully and make sure that you understand them before ordering any Artworks from the Website by way of a Purchase. If you do not accept the Website trading terms, or any other part of the Terms and Conditions, including the Website terms of use, you will not be able to purchase any Artworks from the Website.

  1. Information about us

    We are ROJA Arts CIC, a company registered in England and Wales under company number 13762186 and with our registered office at C/O The Control Tower, Bentwaters Parks, Rendlesham, Suffolk, United Kingdom, IP12 2TQ. Our main trading address is Old Jet, Bentwaters Parks, Rendlesham, Suffolk IP12 2TW (the "Trading Address"). We operate the website www.oldjet.gallery. References to "we", "us" and "our" in these Terms and Conditions mean ROJA Arts CIC.

  1. Authority to purchase
    1. If you are a consumer, you may only purchase Artwork through the Website if you are at least 18 years old.
    2. If you are a business customer, by placing an order through the Website you confirm that you have authority to bind any business on behalf of whom you are purchasing Artwork via the Website.
  1. Ordering Artwork via the Website
    1. The Website will guide you through the steps that you need to take to place an order for Artwork. You should check your order and amend any errors before submitting it. It is your responsibility to ensure that the information that you provide to us is correct. If we have to contact you for any reason we will do this via the email address you provide.
    2. The Agreement between us will be formed when you click the 'Pay now' button as the last step on the Website, subject always to your form of payment being approved (whether by us or by your provider) and any other terms and conditions set out in this Agreement ("Purchase").
    3. We may reject any orders at our discretion and without explanation, including but not limited to orders, or a series of linked orders, which are greater than €10,000 (or equivalent value in the relevant currency as of the date of the order or orders), including taxes and ancillary costs.
    4. Acceptance and fulfilment of orders will be subject to availability. You acknowledge and accept that some Artwork is unique or there may be limited availability. We will not be liable to you if the Artwork that you wish to order is unavailable for any reason.
    5. We do not guarantee, unless explicitly stated and confirmed by us in writing, that if you purchase a print you will receive a particular edition number.
    6. If we are unable to supply you with the Artwork that you have ordered for any reason we will inform you by email. If you have already paid for the Artwork, we will refund you the full amount including any delivery costs charged as soon as reasonably possible.
    7. You acknowledge that the images of the Artworks on our Website, or any images that we may send to you as part of the sales process, or any images that may appear in any catalogue or brochure we may produce, are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that a device's display of the colours accurately reflects the colour of the Artwork. The Artwork may vary slightly from those images. Any such variation does not constitute an inaccuracy of the description of the Artwork.
    8. In the event we do not receive payment in full (or any part thereof) for the Artwork for any reason, including but not limited to in the event of cyber fraud, or you fail to pay the price (or any part thereof including delivery costs or any applicable taxes) in accordance with the Website or this Agreement, we shall have no obligation to deliver the Artwork to you or to release the Artwork to you for collection. You shall not accrue any rights in the Artwork and we are entitled to sell the Artwork to a third party without notice to you. Any partial payment we have received will be refunded to you within a reasonable period of time.
  1. Price and payment
  1. The price of the Artwork and our delivery charges will be as quoted on the Website at the time of Purchase or may be provided to you separately in the event such delivery charges cannot be calculated at the time of Purchase for any reason.
  2. Prices do not include VAT or any other form of tax, duty or charge which may be applicable to the Purchase.
  3. Prices and delivery charges are liable to change at any time, but such changes will not affect Purchases which have already been cleared.
  4. The Website contains a large number of Artworks and it is always possible that, despite our best efforts, some of the Artwork displayed on our online gallery or store may be incorrectly priced. We reserve the right to withdraw the Artwork and/or terminate any Purchase in the event of any incorrect pricing and will notify you as may be applicable.
  5. We accept payment with most credit and debit cards.
  6. Payment for the full price plus applicable delivery charges will be taken from your credit or debit card and cleared before we deliver or release the Artwork to you. We, or carefully selected third parties on our behalf, may carry out checks and/or authorisations on with your card issues for security reasons and we may contact you if any problems arise.
  1. collection and delivery
  1. You have the option of either collecting the Artwork from the Trading Address (as noted in clause 1) or instructing us to deliver it (via a third party provider) to an address provided by you.
  2. If you instruct us to deliver the Artwork to you, it will be delivered within 30 days of the date we receive payment in full and cleared funds of all monies due and payable in relation to the Artwork, or such other delivery date as may be agreed between us. Please be aware that if the Artwork is being delivered outside mainland England then delivery may take longer.
  3. If you decide to collect the Artwork, it will only be released to you once all payment of all monies due and payable in relation to the Artwork have been received by us in full and cleared funds.
  4. Delivery will be completed when we deliver the Artwork to the address provided by you. We shall not be responsible for any loss of or damage to the Artwork as a result of any action or inaction of any third party provider or resulting from the collection of the Artwork (please refer to clause 7.1 below).
  1. The Artwork

You are purchasing the physical Artwork only as described on the Website. This Agreement does not convey to you any intellectual property rights in the Artwork. For the avoidance of doubt, we do not have nor purport to have any authority to grant licences for the reproduction of any Artwork.

  1. Risk and title
  1. Any loss or damage to the Artwork will be your responsibility from the point of Purchase.
  2. Ownership of the Artwork will only pass to you when we receive payment from you of all monies due in relation to the Artwork in full and cleared funds.
  1. Import duty
  1. If you order Artwork for delivery outside the United Kingdom, it may be subject to import duties and taxes, which are levied when the Artwork reaches the specified destination. You will be solely responsible for payment of any such import duties and taxes. Please note that we have no control over these charges and cannot predict their amount. Please contact your local customs office for further information before making payment of the Price.
  2. Please also note that you must comply with all applicable laws and regulations of the country for which the products are destined. We will not be liable for any breach by you of any such laws.
  1. Your right to cancel – consumers (online purchases)
  1. This clause 9 only applies if you are a consumer purchasing online.
  2. You have the right to change your mind and to cancel your purchase at any time up to 14 days following delivery of the Artwork (or the last Artwork if you have ordered several pieces which are delivered separately). To cancel your purchase please contact us by email oliver@oldjet.co.uk and we will confirm the address to which the Artwork must be returned by you. Please include the information provided with the Purchase – order number, name of purchaser and delivery address - to help us identify you. Cancellation will be effective from the date we receive the email including the foregoing information to the address set out in this clause.
  3. The right to cancel does not apply to any Artwork which is an audio or visual recording and which has been unsealed by or on your behalf following delivery or to any Artwork which has been made or customised to your specification (including, but not limited to, framing) where you have given us consent to commence such making or customisation.
  4. If you cancel your purchase under clause 9.2 and we have already dispatched the Artwork, you are responsible for the costs of returning the Artwork to us. Subject to clause 9.6, these costs will be deducted from the refund of the Price that is payable to you.
  5. If the Artwork has been delivered to you at the time of your cancellation, you must return the Artwork to us without undue delay to ROJA Arts CIC, C/O The Control Tower, Bentwaters Parks, Rendlesham, Suffolk, United Kingdom, IP12 2TQ and we will then make the refund within 14 days after the earlier of (a) the day on which we receive the Artwork or, (b) the day on which you provide us with evidence that you have sent the Artwork back to us. If you have not received the Artwork at the time of your cancellation, we will make the refund within 14 days after you inform us of your decision to cancel the Agreement.
  6. If the value of Artwork has been reduced as a result of your handling of it, for example if the condition of the Artwork changes, then we may reduce your refund by that amount.
  7. We will only refund you on the credit card or debit card used by you to pay for the Artwork.
  1. Our liability - consumers
  1. This Clause 11 only applies if you are a consumer.
  2. If we fail to comply with the Terms and Conditions, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms and Conditions or our negligence. We are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it is an obvious consequence of our breach or if it was contemplated by you and us at the time we entered into this contract.
  3. We only supply Artworks for domestic and private use. You agree not to use any Artwork for any commercial, business or resale purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
  4. We do not in any way exclude or limit our liability for:
  1. death or personal injury caused by our negligence;
  2. fraud or fraudulent misrepresentation;
  3. any breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession);
  4. any breach of the terms implied by section 13 to 15 of the Sale of Goods Act 1979 (description, satisfactory quality, fitness for purpose and samples); and
  5. defective products under the Consumer Protection Act 1987.
  1. Our liability – business customers
  1. This clause 12 applies if you are a business customer.
  2. We only supply Artworks for internal use by your business. In the event you use any Artwork for any resale purposes, we shall not be liable to any third party in relation to any of these Terms and Conditions, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
  3. Nothing in these Terms and Conditions limits or excludes our liability for:
  1. death or personal injury caused by our negligence;
  2. fraud or fraudulent misrepresentation;
  3. breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession); or
  4. defective products under the Consumer Protection Act 1987.
  1. Our total liability to you in respect of all losses arising under or in connection with the purchase of Artworks, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the Price of the relevant Artwork or £10,000, whichever is less.
  1. Force Majeure
  1. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that is caused by a Force Majeure Event.
  2. A Force Majeure Event means acts, events, omissions or accidents beyond our reasonable control, including but not limited to acts of God, extreme adverse weather conditions or natural disaster, war, threat of or preparation for war, terrorist attack, riots, compliance with any law, regulation or directive, failure of machinery, computers or vehicles, any labour dispute, non-performance by suppliers or subcontractors and interruption or failure of utility or transport service.
  1. Waiver
  1. A waiver of any right or remedy in connection with your purchase is only effective if given in writing and shall not be deemed a waiver of any subsequent breach or default. A failure or delay by a party to exercise any right or remedy provided under these Terms and Conditions or by law shall not constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict any further exercise of that or any other right or remedy.
  2. No single or partial exercise of any right or remedy provided under by these Terms and Conditions or by law shall preclude or restrict the further exercise of any such right or remedy.
  1. Severability

If any court or competent authority decides that any provision of these Terms and Conditions is invalid, unlawful or unenforceable that provision shall be deemed deleted and the remaining provisions will continue in full force and effect.

  1. Entire agreement
  1. These Terms and Conditions (which incorporate the Website terms of use, the Website trading terms and any related policies such as our Privacy Policy) constitute the entire agreement between the parties and supersede all previous drafts, arrangements, understandings or agreements between them, whether written or oral, relating to the subject matter of this agreement.
  2. Each party acknowledges that, in entering into a contract, it does not rely on, and shall have no remedies in respect of, any representation or warranty (whether made innocently or negligently) that is not set out in these Terms and Conditions. Each party agrees that its only liability in respect of those representations and warranties that are set out in the Terms and Conditions (whether made innocently or negligently) shall be for breach of contract.
  3. Nothing in this clause shall limit or exclude any liability for fraud.
  1. Variation

We have the right to revise and amend these Terms and Conditions from time to time. You will be subject to the policies and terms and conditions in force at the time that you order Artwork from us.

  1. Law and jurisdiction

These Terms and Conditions are subject to the laws of England and Wales and the parties submit to the exclusive jurisdiction of the Courts of England and Wales.

  1. Third party rights

A person who is not party to this agreement shall not have any rights under or in connection with them under the Contracts (Rights of Third Parties) Act 1999.
